Welcome to Common Ground! These Terms of Service ("Terms") govern your access to and use of Common Ground's calendar coordination service, including our website, applications, and related services (collectively, the "Service").

By accessing or using Common Ground, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

1. Acceptance of Terms

By creating an account, accessing, or using Common Ground, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

These Terms constitute a legally binding agreement between you and Common Ground. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Eligibility

You must be at least 16 years old to use Common Ground. By using the Service, you represent and warrant that:

• You are at least 16 years of age
• You have the legal capacity to enter into these Terms
• You will comply with these Terms and all applicable laws
• You have not been previously suspended or removed from the Service

3. User Accounts

3.1 Account Creation

To use Common Ground, you must create an account by providing accurate and complete information. You may register using:

• Email address and password
• Third-party authentication (Google, Microsoft, Apple)

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach

We are not liable for any loss or damage arising from your failure to protect your account information.

3.3 Account Information

You agree to provide accurate, current, and complete information and to update your information to keep it accurate and current. We reserve the right to suspend or terminate accounts with inaccurate, fraudulent, or incomplete information.

4. Service Description

Common Ground is a calendar coordination service that helps groups find common availability for meetings and events. Our Service includes:

• Calendar Integration: Connect your calendar(s) to sync your availability
• Group Coordination: Create or join groups to find mutual availability
• Meeting Proposals: Propose and confirm meeting times
• Privacy Controls: Choose between Basic and Enhanced privacy tiers
• Flexible Scheduling: Mark events as negotiable for increased flexibility (Enhanced tier)

5. User Responsibilities

As a user of Common Ground, you agree to:

• Use the Service only for lawful purposes and in accordance with these Terms
• Ensure your calendar data and availability information is accurate
• Respect other users' privacy and time
• Respond promptly to meeting invitations and proposals
• Notify group members if you can no longer attend a confirmed meeting
• Maintain the confidentiality of invite links and group information
• Not share your account with others

6. Prohibited Conduct

You agree NOT to:

• Violate any applicable laws or regulations
• Impersonate any person or entity or misrepresent your affiliation
• Use the Service to harass, abuse, or harm another person
• Send spam, unsolicited invitations, or promotional materials
• Attempt to gain unauthorized access to the Service or other users' accounts
• Reverse engineer, decompile, or disassemble the Service
• Use automated tools (bots, scrapers) without our permission
• Interfere with or disrupt the Service or servers
• Collect or harvest personal information about other users
• Use the Service for any commercial purpose without our consent
• Upload malicious code, viruses, or harmful content
• Circumvent any security features or access controls

7. Intellectual Property

7.1 Our Property

The Service, including its original content, features, functionality, design, logos, trademarks, and code, is owned by Common Ground and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Your Content

You retain ownership of any content you provide to Common Ground (e.g., group names, descriptions, profile information). By using the Service, you grant us a limited, non-exclusive, royalty-free license to use, store, and display your content solely to provide and improve the Service.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without compensation or obligation to you.

Common Ground integrates with third-party calendar services (Google Calendar, Microsoft 365, Apple Calendar). Your use of these services is subject to their respective terms and privacy policies:

• Apple iCloud Terms

We are not responsible for the availability, accuracy, or content of these third-party services. Any issues with calendar providers should be directed to them.

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using Common Ground, you consent to our collection and use of data as described in the Privacy Policy.

You agree to indemnify, defend, and hold harmless Common Ground and its affiliates, officers, directors, employees, agents, and partners from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your violation of applicable laws or regulations
• Any content you submit or share through the Service

13. Termination

13.1 Termination by You

You may terminate your account at any time by:

• Accessing your account settings and selecting "Delete Account"

13.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

• You breach these Terms
• We suspect fraudulent, abusive, or illegal activity
• We are required to do so by law
• We discontinue the Service (with 30 days' notice if feasible)

13.3 Effect of Termination

Upon termination:

• Your access to the Service will immediately cease
• We will delete your account data within 90 days (subject to legal retention requirements)
• You remain liable for any obligations incurred before termination
• Provisions that should survive termination (disclaimers, limitations of liability, indemnification) will continue to apply

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law principles.

14.2 Informal Resolution

Before filing a formal claim, you agree to contact us at hello@safevide.dev and attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.

14.3 Jurisdiction

If informal resolution fails, any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the courts of Switzerland. You consent to the personal jurisdiction of such courts.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:

• Posting the updated Terms on this page
• Updating the "Last Updated" date
• Sending an email notification to your registered email address
• Displaying an in-app notification

Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service and delete your account.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Common Ground regarding the Service and supersede all prior agreements.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

16.5 No Agency

No agency, partnership, joint venture, or employment relationship is created between you and Common Ground as a result of these Terms or your use of the Service.
